Request For Collaboration

1. Parties

This Mutual Non-Disclosure Agreement ("Agreement") is entered into between The Enlightenment (artist name, managed by PIMEC Solutions, info@pimecineng.com) ("Disclosing Party / Receiving Party") and the individual signing this form ("Collaborating Artist"), collectively referred to as "the Parties."

2. Purpose

The Parties wish to explore a potential creative collaboration, including but not limited to co-writing, featured verses, production, and joint releases. In connection with this purpose, each Party may disclose certain confidential information to the other.

3. Definition of Confidential Information

"Confidential Information" means any non-public information disclosed by either Party, including but not limited to: unreleased music, song titles, lyrics, melodies, production techniques, business plans, project timelines, financial terms, marketing strategies, personal contact details, and any other creative or business materials shared in connection with this collaboration.

4. Obligations of Receiving Party

Each Party, as a Receiving Party, agrees to:

1. Hold all Confidential Information in strict confidence;
2. Not disclose Confidential Information to any third party without prior written consent from the Disclosing Party;
3. Use Confidential Information solely for evaluating and executing the proposed collaboration;
4. Take reasonable precautions to protect the secrecy of the Confidential Information, no less than the precautions used to protect their own confidential information.

5. Exclusions

Obligations under this Agreement do not apply to information that: (a) is or becomes publicly available through no breach of this Agreement; (b) was rightfully known to the Receiving Party before disclosure; (c) is independently developed by the Receiving Party without use of the Confidential Information; or (d) is required to be disclosed by law, provided the Receiving Party gives the Disclosing Party prompt written notice.

6. Term

This Agreement shall remain in effect for a period of two (2) years from the date of signing. Obligations regarding Confidential Information that constitutes a trade secret shall survive indefinitely.

7. Intellectual Property

This Agreement does not grant either Party any rights to the other's intellectual property. Any jointly created works shall be subject to a separate written agreement executed by both Parties prior to or at the time of creation.

8. No Obligation to Collaborate

Nothing in this Agreement obligates either Party to enter into any further agreement or to proceed with any collaboration. Either Party may withdraw from discussions at any time with written notice.

9. Remedies

Each Party acknowledges that a breach of this Agreement may cause irreparable harm for which monetary damages would be an inadequate remedy. Accordingly, each Party agrees that the non-breaching Party shall be entitled to seek equitable relief, including injunction and specific performance, in addition to all other remedies available at law or in equity.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions.

11. Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements. This Agreement may not be modified except by a written instrument signed by both Parties.

12. Counterparts / Electronic Signature

The Parties agree that an electronic signature or typed name submitted through this form shall be legally binding and shall have the same force and effect as a handwritten signature.
